Coinbase Dispute Highlights Bitcoin’s Corporate Governance Gap

Bitcoin's corporate governance gap — The public dispute between BlockTower Capital and Coinbase over alleged lost assets has exposed a fundamental governance gap for corporations holding Bitcoin, according to an opinion piece by Onramp CEO Michael Tanguma.

Tanguma argues that the core issue is that no external party can verify the claims in the dispute, which is antithetical to the transparency Bitcoin was designed to enable. He states that when a custodian like Coinbase is accused of concealing issues, the market is left relying solely on the credibility of the accuser and the word of the custodian.

The piece contends that Bitcoin presents a unique controls problem for corporate balance sheets. Unlike traditional bank or brokerage accounts—which have named users, defined roles, and clear audit trails—corporate Bitcoin holdings often reside behind a single exchange login or in a hardware wallet, leaving boards with unanswered questions about who controls the assets and who authorizes their movement.

Tanguma concludes that corporate adoption of Bitcoin will stall until custody arrangements can provide the same level of governance and verifiability that boards demand for other company assets. The inability to answer basic control questions makes such disputes fundamentally unanswerable for the broader market.
